orm MGT 14 was introduced in the Companies Act of 2013 with the objective of filing certain resolutions with the Registrar of Companies. Such resolutions must be filed after the passing of the same at the meeting held by the Board/Shareholders/Creditors of the company.
Is it mandatory to file MGT 14?
eForm MGT-14 is required to be filed pursuant to Section 94(1), 117(1) of the Companies Act, 2013 and Section 192 of the Companies Act, 1956 and rules made thereunder which are reproduced for your reference. Section 94(1) of the Companies Act, 2013: Place of keeping and inspection of Registers, Returns, etc.
Why do we file MGT 14?
Meetings of the Board of Directors/Shareholders/Creditors are held, and resolutions are passed at the said meetings. The resolutions have to be filed with the ROC by the company or liquidator as the case may be and such resolutions are filed in Form MGT-14
Is MGT 14 required for appointment of Director?
As per company law, KMP is not required the appointment in the private company so that in case of appointment, or removal of director in the private company, MGT-14 is not filed with Registrar.
Can we file form MGT 14 after 30 days?
Under section 117(1) of the firm will furnish the recommendations and agreements in form MGT 14 in 30 days from the passing of the resolutions. Inside the case, the company shall be unable to furnish e-form MGT 14.
Is MGT mandatory?
A registered company must file an annual return with the Registrar of Companies (ROC). It is mandatory compliance for all registered companies to file the annual return vide form MGT-7
